Terms of Use

These Terms of Use govern access to and use of CipherFab's website, instant quoting tools, manufacturing services, customer portals, and related services. By using our platform, you agree to these Terms.

Introduction & Acceptance

These Terms of Use ("Terms") constitute a legally binding agreement between you and CipherFab governing your access to and use of the CipherFab website, customer portal, instant quoting tools, mobile applications, and related products and services (collectively, the "Services").

By accessing or using the Services, creating an account, uploading files, requesting a quote, placing an order, or clicking to accept these Terms, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Services.

Changes to These Terms

CipherFab may modify these Terms at any time. Material changes will be posted on the website and, where you have an account, may be communicated by email. Changes become effective for new users immediately upon posting and for existing users thirty (30) days after posting or notice, whichever is earlier.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance. If you do not agree to revised Terms, you must stop using the Services and may close your account, subject to outstanding order obligations.

Eligibility & Account Registration

You must be at least eighteen (18) years old and capable of forming a binding contract to use the Services. Business users must provide accurate company and contact information.

To access quoting, ordering, and portal features, you must register for an account. You agree to provide true, accurate, current, and complete account information and to keep it updated.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify CipherFab immediately of any unauthorized access or security breach.

Platform Services

CipherFab provides a digital manufacturing platform that enables customers to obtain quotations, place orders, manage projects, and receive custom-manufactured parts and assemblies through CipherFab's internal production capabilities and a network of approved manufacturing partners.

CipherFab may provide quotations, manufacturing estimates, design-for-manufacturability feedback, lead times, logistics coordination, and production services. Services may evolve over time, and CipherFab may add, modify, or discontinue features with reasonable notice where practicable.

CipherFab provides services on an "as available" basis. We do not guarantee uninterrupted access, error-free operation, or that every submitted project can be quoted or manufactured.

Quotes, Orders & Specifications

Before placing an order, you must submit a request for quote including accurate and complete specifications, CAD files, drawings, quantities, materials, tolerances, finishing requirements, delivery preferences, and any other information necessary for manufacturing review.

Quotes are estimates based on information provided at submission and expire unless otherwise stated. CipherFab may accept, reject, or request revision of any quote request or specifications in its discretion.

An order is formed when you accept a quote and satisfy applicable payment requirements. You are solely responsible for verifying that specifications, quantities, materials, tolerances, and shipping details are correct before payment. Specifications generally may not be modified after order acceptance except through an approved change order process.

Because orders involve custom manufacturing, cancellation rights may be limited once production has commenced. CipherFab may cancel or partially cancel orders for defective files, manufacturability issues, partner unavailability, export-control concerns, or other reasonable business reasons.

Payment Terms & Taxes

Fees, payment methods, invoicing schedules, credit terms, and accepted currencies are specified in order confirmations, quotes, or separate commercial agreements.

Unless otherwise agreed in writing, payment may be required before production begins. Late or failed payments may result in suspension of services, production delays, interest charges, or collection action to the extent permitted by law.

You are responsible for applicable taxes, duties, tariffs, customs fees, and import/export charges associated with your orders, except where CipherFab expressly agrees in writing to act as importer of record or otherwise assumes such obligations.

CipherFab may revise pricing if material costs change materially after a quote is issued, subject to good-faith negotiation or order cancellation rights as described in your commercial terms.

Manufacturing Partners & Subcontracting

CipherFab may fulfill orders using internal facilities and/or approved manufacturing partners. You consent to CipherFab sharing specifications, drawings, order details, and related information with partners and service providers as necessary to quote, manufacture, inspect, ship, and support your order.

CipherFab selects partners based on capability, quality, security, and commercial criteria. Partners are contractually required to protect confidential information and use customer data only for authorized fulfillment purposes.

Except as expressly stated in these Terms or an order-specific agreement, CipherFab's obligations relate to coordinating services and do not make CipherFab liable for independent acts of carriers, payment processors, or manufacturing partners beyond applicable legal requirements.

Intellectual Property & Design Files

As between you and CipherFab, you retain all right, title, and interest in your designs, CAD files, drawings, specifications, and other content you upload ("Customer Content"), subject to the licenses granted below.

You grant CipherFab a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, transmit, and disclose Customer Content solely as necessary to provide the Services, generate quotes, manufacture parts, communicate regarding your orders, comply with law, and enforce these Terms.

CipherFab retains all rights in its platform, software, algorithms, processes, documentation, branding, and other CipherFab intellectual property. No rights are granted to you except the limited right to use the Services in accordance with these Terms.

You represent and warrant that you own or have all necessary rights to submit Customer Content and that manufacture of your designs will not infringe third-party intellectual property or violate applicable law.

User Content & Acceptable Use

Users are responsible for ensuring uploaded CAD files, drawings, specifications, and other content are accurate, complete, manufacturing-ready, and lawful.

You must not upload malicious code, corrupted files intended to disrupt systems, infringing content, export-controlled technical data without proper authorization, or materials that violate applicable laws or CipherFab policies.

  • Do not attempt to reverse engineer, scrape, copy, or misuse quoting algorithms, pricing logic, or platform features.
  • Do not use the Services to develop a competing service or to access accounts or data without authorization.
  • Do not upload content you do not have the right to share or that violates confidentiality, export-control, or safety regulations.
  • Do not use the Services for unlawful, fraudulent, harassing, or abusive purposes.

Confidentiality & NDAs

CipherFab treats customer designs, specifications, pricing, business information, and order details as confidential and limits access to personnel, partners, and advisers who need such information to perform services.

CipherFab may anonymize or remove identifiable customer information from manufacturing packages where appropriate before sharing with partners, consistent with order requirements and applicable agreements.

Additional confidentiality obligations may apply under a mutual non-disclosure agreement or master services agreement. In the event of conflict, the executed agreement controls.

Quality, Tolerances & Inspection

Manufactured parts will conform to specifications and tolerances agreed at order acceptance unless otherwise stated in project documentation or quality plans.

You are responsible for defining critical dimensions, tolerances, material certifications, finishing requirements, inspection criteria, and regulatory markings needed for your application.

CipherFab and its partners apply industry-standard quality processes. First articles, inspection reports, material certificates, and other quality documentation may be available where specified in the quote or order.

Upon delivery, you are responsible for inspecting parts promptly and notifying CipherFab of any nonconformance within the warranty or return period stated in your order terms.

Delivery, Shipping & Customs

CipherFab will use commercially reasonable efforts to meet quoted lead times and delivery dates. Delivery dates are estimates and may change due to material availability, engineering review, customs delays, force majeure, or other factors beyond reasonable control.

Shipping terms, incoterms, insurance, and risk of loss are specified in the quote or order. Unless otherwise agreed, title and risk of loss may pass upon shipment or as stated in commercial terms.

For international shipments, you agree to provide accurate customs descriptions, harmonized tariff codes, end-use information, and other documentation required for lawful import and export.

Returns, Warranty & Remedies

Unless otherwise stated in your order, CipherFab warrants that manufactured parts will materially conform to agreed specifications for a limited period after delivery. Warranty periods, return procedures, and remedy options are stated in order confirmations or quality terms.

Warranty remedies may include repair, remake, credit, or refund for qualifying nonconforming parts, subject to inspection and verification. Warranty does not cover defects arising from your specifications, misuse, unauthorized modification, normal wear, or use outside stated application limits.

High-risk applications—including medical devices, aerospace flight hardware, weapons, automotive safety-critical components, and other regulated uses—may require separate written approval and additional quality agreements.

Export Control & Regulated Data

You are responsible for determining whether your designs, technical data, or end use are subject to export control laws, including the U.S. Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR), or equivalent laws in other jurisdictions.

Do not upload ITAR-controlled, export-controlled, or classified technical data unless CipherFab has expressly authorized such submission and appropriate safeguards are in place.

You agree to provide end-user, end-use, and classification information reasonably requested by CipherFab for compliance screening, customs clearance, and lawful order fulfillment.

You agree to indemnify CipherFab for losses arising from inaccurate export classifications, unauthorized controlled-data uploads, or violations of trade compliance laws attributable to your submissions or instructions.

Prohibited & Restricted Products

CipherFab may refuse or cancel projects involving prohibited items, unlawful end uses, or products that violate CipherFab policy or applicable law.

Restricted categories may include certain firearms components, munitions, counterfeit goods, items requiring undisclosed regulatory licenses, or projects CipherFab cannot support with appropriate quality and compliance controls.

Service Data & Artificial Intelligence

CipherFab may collect and analyze operational data generated through use of the Services—including quote history, production metadata, and de-identified design characteristics—to maintain, secure, support, and improve platform performance and quality systems.

Where reasonably practicable, CipherFab uses aggregated or de-identified data for analytics and product improvement and does not disclose customer-identifiable design data for unrelated purposes.

CipherFab does not use identifiable customer designs or specifications to train generative artificial intelligence models unless expressly agreed in writing or the data has been irreversibly de-identified and aggregated such that customer-specific reconstruction is not reasonably possible.

Privacy

CipherFab's Privacy Policy describes how we collect, use, and disclose personal information and is incorporated into these Terms by reference. By using the Services, you also agree to the Privacy Policy and Cookie Policy.

Indemnification

You agree to defend, indemnify, and hold harmless CipherFab and its affiliates, officers, directors, employees, agents, and partners from claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your Customer Content, specifications, or products manufactured from your designs.
  • Your violation of these Terms, applicable law, or third-party rights.
  • Export-control, customs, product liability, or regulatory claims related to your orders or instructions.
  • Unauthorized or negligent use of your account.

Disclaimers & Limitation of Liability

Except as expressly provided in an order or separate written agreement, the Services and manufactured parts are provided "as is" and "as available." CipherFab disclaims all warranties not required by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CipherFab does not warrant that quoting results, lead times, manufacturability feedback, or platform outputs will be error-free or suitable for every application. You remain responsible for validating designs for your intended use.

To the maximum extent permitted by law, CipherFab will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity.

CipherFab's aggregate liability arising out of or relating to the Services or any order will not exceed the amounts paid by you to CipherFab for the specific order giving rise to the claim during the twelve (12) months preceding the event, except where liability cannot be limited by law.

Dispute Resolution

The parties will attempt in good faith to resolve disputes through negotiation before initiating formal proceedings.

Unless prohibited by applicable law or otherwise agreed in a master agreement, disputes may be resolved through binding arbitration or courts of competent jurisdiction as specified in your commercial agreement or, where none applies, the jurisdiction of CipherFab's principal place of business.

You waive any right to participate in a class action or class-wide arbitration against CipherFab to the extent permitted by law.

Suspension & Termination

CipherFab may suspend or terminate access to the Services immediately for violations of these Terms, security risks, suspected fraud, export-control concerns, nonpayment, or legal requirements.

You may stop using the Services at any time. Termination does not relieve you of payment obligations for accepted orders or liabilities arising before termination.

Provisions that by their nature should survive termination—including intellectual property, confidentiality, indemnification, disclaimers, limitations of liability, and dispute resolution—will survive.

Governing Law & General Provisions

These Terms are governed by the laws specified in your master services agreement or, if none applies, the laws of the jurisdiction of CipherFab's principal place of business, without regard to conflict-of-law principles.

If any provision is held invalid, the remaining provisions remain in effect. CipherFab's failure to enforce a provision is not a waiver. You may not assign these Terms without CipherFab's consent; CipherFab may assign them in connection with a merger, acquisition, or asset sale.

These Terms, together with applicable order documents, privacy policies, and executed commercial agreements, constitute the entire agreement regarding use of the Services unless otherwise stated in writing.
